Please read these disclaimers carefully. They apply whenever you use the SugarPay.io website, applications, or services (the "Service"). They are part of, and incorporated by reference into, our Terms of Service.
1. No Affiliation with Block, Inc. or Square
SugarPay.io is an independent Square Reseller. We sell Square's payments products to merchants and integrate with Square's public APIs to deliver our software. SugarPay is not affiliated with, endorsed by, sponsored by, or operated by Block, Inc. or any of its subsidiaries (including Square, Inc., Cash App, Afterpay, or TIDAL).
"Square" is a registered trademark of Block, Inc. Other product and company names mentioned on the Service are the trademarks of their respective owners. Use of such marks is for identification purposes only and does not imply endorsement.
2. Square Reseller Relationship & Compensation
SugarPay.io operates as an authorized Square Reseller under Block, Inc.'s reseller program. In that capacity, SugarPay markets Square's payment-processing services to merchants, facilitates onboarding, and may provide tier-one support. Square remains the merchant of record and the entity that processes card transactions, holds funds, and settles payouts.
Compensation disclosure. SugarPay receives compensation from Square when merchants we refer or onboard accept payments through Square. This compensation typically takes the form of a share of processing revenue, referral fees, residual commissions, onboarding bonuses, or a combination of these, and may continue for as long as the merchant uses Square. We have a direct financial interest in your continued use of Square; you should weigh that interest when evaluating our recommendations and any product comparisons we present.
Your relationship with Square. When you sign up through SugarPay, you enter into a separate seller agreement directly with Square (or its affiliates). That agreement — not our software — governs:
- processing rates and fees, which are set by Square (not SugarPay);
- holds, reserves, chargebacks, refunds, and dispute resolution;
- account approval, suspension, or termination;
- payout timing, schedule, and bank-account requirements;
- data, privacy, and security obligations between you and Square.
SugarPay does not control Square's pricing, underwriting decisions, account actions, or terms. Your Square account belongs to you — if you stop using SugarPay's software, your Square account, data, and processing relationship continue uninterrupted.
Recommendations are not impartial. Because our compensation is tied to Square, our marketing materials, dashboards, and onboarding flows are not independent comparisons of every available payment processor. You are free to evaluate alternatives, negotiate directly with Square, or change processors at any time.
Dual Pricing (Duet) note.Where merchants enable our Dual Pricing engine ("Duet"), the displayed card price is the merchant's regular listed price and cash and check customers receive an automatic discount at checkout. Cash discount programs are subject to ongoing regulatory and card-network rules; the merchant remains responsible for accurate signage, on-screen disclosure, and receipt language for their jurisdiction.
3. Not a Bank, Payment Processor, or Money Transmitter
SugarPay is software. We are not:
- a bank, savings association, or credit union;
- a federally or state-chartered payment processor;
- a money services business or money transmitter;
- a lender, debt collector, or credit-reporting agency.
We do not custody, hold, or transmit funds. All card processing and payouts are performed by Square (or other third-party processors you choose) under your own merchant account, subject to their terms.
4. Not Financial, Legal, Tax, or Accounting Advice
Information presented in or generated by the Service — including dashboards, analytics, recommendations, content, blog posts, and AI-generated suggestions — is for general informational purposes only. It is not investment, financial, legal, tax, or accounting advice.
You should consult qualified professionals (attorneys, CPAs, financial advisers) before making decisions based on information from the Service. Your reliance on any information you obtain from the Service is solely at your own risk.
5. No Guarantees of Outcomes
Statements such as "get paid 2x faster," "loved by 2k+ merchants," or comparable claims are based on aggregated user data, surveys, or industry estimates and are not promises of results. Your results will depend on your business, customers, market conditions, and many factors outside our control.
6. "As Is" — No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, free of viruses or harmful components, or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our warranties will be limited to the minimum extent permitted.
7. Third-Party Services and Content
The Service may include links to, embed, or integrate with third-party services (such as Square, payment-card vendors, email providers, and analytics tools). We do not control and are not responsible for those third-party services, their policies, their content, their pricing, their availability, or their treatment of your data. Your use of any third-party service is governed by that party's own terms.
8. Forward-Looking Statements
Our website, blog, and product communications may contain forward-looking statements (e.g., about upcoming features, roadmaps, or projections). These reflect our current views and are subject to risks and uncertainties. Actual results may differ materially. We undertake no obligation to update forward-looking statements.
9. Compliance is Your Responsibility
You are solely responsible for ensuring your use of the Service complies with all applicable laws, regulations, and rules — including, without limitation, payment-card industry (PCI) requirements, anti-money-laundering laws, sanctions, consumer-protection laws, tax laws, and Square's own seller policies. Nothing in the Service should be interpreted as confirming your compliance with any particular law.
10. Open-Source Software Disclaimer
SugarPay.io is open source under the MIT License. The MIT License provides the Service "AS IS, WITHOUT WARRANTY OF ANY KIND". Contributors to the open-source repository do not provide any warranty for the code and are not liable for damages arising from its use.
11. Limitation of Liability
See the limitation of liability in our Terms of Service. To the fullest extent permitted by law, neither SugarPay nor its officers, directors, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Service.
12. Jurisdictional Disclosures
The Service is operated from the United States. If you access it from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws. The Service may not be available, appropriate, or lawful in all jurisdictions.

We may update these disclaimers from time to time. The "Last updated" date at the top of this page reflects the most recent revision.
