Terms of Service

Plain-English summary:SugarPay.io is software that helps Square sellers run their business. We're not Square, we're not a bank, and we don't hold your money. Use the service legally and responsibly. Either of us can end this relationship at any time.

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent, "you") and SugarPay.io ("SugarPay", "we", "us"). By creating an account, accessing, or using the SugarPay.io website, mobile applications, APIs, or related services (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You may use the Service only if you:

  • are at least 18 years old (or the age of majority in your jurisdiction);
  • have the legal capacity to form a binding contract;
  • are not barred from receiving the Service under U.S. or other applicable law;
  • maintain a Square seller account in good standing (for paid features);
  • operate a lawful business not engaged in any prohibited activity.

3. The Service

3.1 What we provide

SugarPay provides software that connects to your Square account through Square's public APIs to help you send invoices, view analytics, manage customers, and otherwise run your business. The Service may evolve over time; we may add, change, or remove features at our discretion.

3.2 What we do NOT provide

  • We are not Square. SugarPay is independent and not affiliated with, endorsed by, or sponsored by Block, Inc. or Square, Inc.
  • We are not a bank. We do not hold customer funds, extend credit, or provide deposit accounts.
  • We are not a payment processor. Card payments are processed by Square directly under your Square merchant account.
  • We are not a money transmitter.Funds flow through Square; SugarPay never takes possession of your customers' payments.
  • We do not provide financial, legal, tax, or accounting advice. Information in the Service is for informational purposes only.

4. Your Account

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at security@sugarpay.io if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe pose a security or legal risk.

5. Square Integration

When you connect your Square account, you authorize SugarPay to access and act on your behalf via Square's APIs in accordance with the scopes you grant. Your use of Square is governed by Square's own terms (the Square Seller Agreement and related policies). SugarPay is not responsible for Square's products, fees, decisions, payout schedules, or service availability. You may disconnect at any time.

6. Fees and Billing

  • The free Starter plan is offered at no cost. Paid plans are billed in advance monthly or annually as displayed at checkout.
  • Fees are stated in U.S. dollars and exclude applicable taxes, which you are responsible for.
  • You authorize us (or our payment-card vendor) to charge your card on file for all fees owed. Failed charges may result in suspension.
  • Card-processing rates and other fees charged by Square are separate from, and in addition to, SugarPay's subscription fees.
  • Fees are non-refundable except where required by law or expressly stated. You may cancel anytime; access continues through the end of the paid period.

7. Acceptable Use

You must comply with our Acceptable Use Policy. Violations may result in suspension or termination without refund.

8. Your Content & Data

You retain ownership of the data and content you submit to the Service ("Customer Data"). You grant SugarPay a limited, worldwide, royalty-free license to host, process, and display Customer Data solely as needed to provide and improve the Service. You are responsible for ensuring you have the rights to submit Customer Data, including any data about your end-customers, and for complying with applicable privacy laws.

9. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks ("SugarPay IP"), is owned by SugarPay or its licensors. We grant you a non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except where applicable law permits.

SugarPay's open-source components are licensed under their respective licenses (see our public repository for details).

10. Third-Party Services

The Service may interoperate with third-party services such as Square, payment-card vendors, email providers, and analytics tools. We are not responsible for third-party services and your use of them is subject to their own terms and privacy practices.

11. Disclaimers

See our full Disclaimers. In summary: the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, SugarPay and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or relating to the Service.

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid SugarPay in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless SugarPay from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) Customer Data you submit, or (d) your products, services, and business.

14. Termination

You may terminate at any time from your account settings. We may suspend or terminate your access immediately if you breach these Terms, pose a security or legal risk, or for any reason with reasonable notice. Sections that by their nature should survive termination will survive (including IP, disclaimers, liability limits, and indemnification).

15. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, except that either party may bring an individual action in small-claims court. You waive any right to participate in a class action or class-wide arbitration. If arbitration is unenforceable, exclusive jurisdiction lies with the state and federal courts located in Delaware.

17. General

  • Entire agreement: these Terms, together with referenced policies, are the entire agreement between you and SugarPay.
  • Severability: if any provision is held unenforceable, the remainder will continue in effect.
  • No waiver: our failure to enforce any right is not a waiver of that right.
  • Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
  • Notices: we may give notice via email or in-product. You may give notice to legal@sugarpay.io.
